Self-Serve Terms of Service

Effective August 17, 2026.

1. Scope and Acceptance

These Self-Serve Terms of Service ("Terms") apply when an individual or organization creates or uses a free, trial, or paid Sundial account without a Sales Order or other negotiated agreement signed by Sundial (the "Self-Serve Services"). If a signed agreement governs the customer's use of Sundial, that agreement applies instead of these Terms.

By creating an account or using the Self-Serve Services, the person or organization using them ("Customer") agrees to these Terms and Sundial's Privacy Policy. A person accepting these Terms for an organization represents that they have authority to bind that organization. Actions taken by Customer's workspace administrators, including changing subscriptions, enabling features, and changing data-use settings, are binding on Customer.

2. The Self-Serve Services

Subject to these Terms, Sundial grants Customer a non-exclusive, non-transferable right to use the Self-Serve Services for Customer's internal business purposes. Each user must have an individual account and must keep login credentials confidential. Customer is responsible for activity through its accounts and for setting appropriate user and administrator permissions.

Sundial may update the Self-Serve Services, including their features, artificial intelligence models, providers, usage limits, and technical requirements. Preview, beta, or experimental features may be changed or discontinued and are provided without a service-level commitment.

3. Customer Data

"Customer Data" means data, files, documents, prompts, instructions, queries, code, configurations, metadata, and other content that Customer or its users submit, transmit, or make available through the Self-Serve Services or authorize the Self-Serve Services to access, together with outputs generated through Customer's use.

Customer owns its Customer Data. Customer grants Sundial a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, modify, and use Customer Data as needed to provide, secure, support, and improve the Self-Serve Services as expressly described in these Terms.

Customer represents that it has the rights and permissions needed for Sundial to process Customer Data under these Terms. Customer is responsible for the legality, accuracy, and quality of Customer Data and for its users' activity.

4. Usage Data

Sundial may collect technical and operational information about access to, use of, security of, and performance of the Self-Serve Services, including logs, telemetry, feature usage, and performance statistics ("Usage Data"). Usage Data does not include Customer Data itself. Sundial may use Usage Data to operate, secure, analyze, develop, and improve its products and services. Sundial will not disclose Usage Data in a form that identifies Customer or an individual.

5. AI Service Improvement

"AI Inputs and Outputs" means prompts and instructions submitted through Sundial's artificial intelligence features; outputs generated by those features; feedback, corrections, annotations, and ratings; tool calls, execution traces, errors, and related technical context; and the specific Customer Data that Customer or its users submit or cause the Self-Serve Services to retrieve or include in an AI interaction. AI Inputs and Outputs do not include a complete connected data source or Customer Data that was not included in a specific AI interaction.

Unless Customer opts out, Sundial may use AI Inputs and Outputs to develop, improve, and evaluate Sundial's products and services, including its artificial intelligence features. This permission is limited to the AI Inputs and Outputs involved in those interactions. It does not give Sundial permission to access or use other Customer Data or Customer systems for service improvement.

Authorized Sundial personnel may review selected AI Inputs and Outputs when needed to investigate errors, evaluate responses, improve reliability, or improve Sundial's artificial intelligence features. Sundial will restrict that access to personnel with a need to know and confidentiality obligations.

Sundial will not use credentials, authentication tokens, passwords, other secrets, complete connected data sources, payment-card data, Protected Health Information subject to HIPAA, or sensitive personal information as defined by applicable law for service improvement. Sundial will also exclude data obtained through a third-party platform or API whose terms prohibit training, product improvement, long-term storage, or cross-customer use. Under current platform terms, this exclusion applies to data obtained through Slack APIs and Google Workspace APIs.

Sundial will not disclose source AI Inputs and Outputs to other customers, sell them, or use them for advertising. Sundial requires its artificial intelligence providers to maintain confidentiality and does not permit them to use Customer Data to train or improve their general or shared models.

Customer may opt out at any time in account settings. Sundial will cease this service-improvement use within a commercially reasonable period after opt-out. Opt-out applies going forward and does not require Sundial to reverse use completed before opt-out. Opting out will not remove access to the core Self-Serve Services, but it may limit experimental features or service optimization that requires participation.

6. AI Features

Customer's use of artificial intelligence features may involve sharing Customer Data with Sundial's artificial intelligence providers to produce outputs or perform requested actions. Customer authorizes that processing solely to provide the applicable feature. Customer is responsible for reviewing outputs before relying on them and for configuring the permissions of automated agents and integrations.

Artificial intelligence outputs may be incomplete, inaccurate, or unsuitable for Customer's intended use. Customer is responsible for deciding whether and how to use them.

7. Restrictions

Customer will not, and will not permit its users to:

  • Use the Self-Serve Services unlawfully or in violation of another person's rights
  • Attempt to gain unauthorized access to the Self-Serve Services or another customer's data
  • Interfere with the security, integrity, or operation of the Self-Serve Services
  • Reverse engineer or attempt to derive source code, except where applicable law prohibits this restriction
  • Resell, sublicense, or provide the Self-Serve Services to a third party as a standalone offering
  • Use the Self-Serve Services or its outputs to build or train a competing artificial intelligence or machine learning product
  • Upload malware or other harmful code

Sundial may suspend access if it reasonably believes Customer has violated these Terms or created a security or legal risk.

8. Fees, Subscriptions, and Cancellation

Paid subscriptions renew automatically for the subscription period selected by Customer unless canceled before the renewal date. Customer authorizes Sundial and its payment processor to charge the payment method on file for subscription fees, usage fees, and applicable taxes. Except where required by law, fees are non-refundable.

Customer may cancel through the Self-Serve Services or by contacting support@sundial.so. Cancellation stops future renewal and does not refund amounts already paid.

9. Confidentiality, Privacy, and Security

Customer Data is Customer's confidential information. Sundial will use reasonable care to protect it and will use or disclose it only as permitted by these Terms, the Privacy Policy, or applicable law. Sundial may share Customer Data with service providers that need it to provide the Self-Serve Services and that are bound by appropriate confidentiality and data-protection obligations.

If Customer and Sundial enter into a separate Data Processing Addendum, that addendum controls Sundial's processing of personal information if it conflicts with these Terms.

10. Ownership and Feedback

Sundial and its licensors own the Self-Serve Services, software, documentation, models, methods, and related intellectual property. Except for the limited right to use the Self-Serve Services, these Terms do not grant Customer any right in Sundial's intellectual property.

Customer may provide feedback or suggestions. Sundial may use that feedback without restriction or payment, provided Sundial does not identify Customer as the source without permission. Feedback does not include Customer Data.

11. Termination and Data Deletion

These Terms remain in effect while Customer maintains an account. Customer may stop using the Self-Serve Services and request account deletion at any time. Sundial may terminate or suspend an account for breach, nonpayment, security risk, legal requirement, or prolonged inactivity after reasonable notice when practicable.

After termination, Customer's right to use the Self-Serve Services ends. Sundial will delete or return Customer Data according to its standard retention practices and applicable law. Termination or opt-out does not require Sundial to reverse service-improvement work completed before the effective date of termination or opt-out.

12. Disclaimers and Liability

Customer will defend and indemnify Sundial against third-party claims arising from Customer Data, Customer's violation of these Terms or applicable law, or Customer's infringement or violation of another person's rights.

THE SELF-SERVE SERVICES, PREVIEW FEATURES, AND ARTIFICIAL INTELLIGENCE OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNDIAL DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OR DATA. EACH PARTY'S TOTAL LIABILITY ARISING FROM THESE TERMS WILL NOT EXCEED THE FEES CUSTOMER PAID OR OWED FOR THE SELF-SERVE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO CUSTOMER'S PAYMENT OBLIGATIONS, A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.

13. General

These Terms and the Privacy Policy are the entire agreement governing the Self-Serve Services. Sundial may update these Terms by posting a revised version and providing reasonable notice of material changes. A change does not retroactively expand Sundial's rights to Customer Data. For an existing Self-Serve Account, a change that materially expands how Sundial may use Customer Data will apply only after a workspace administrator affirmatively accepts the updated Terms. For other changes, continued use after the stated effective date constitutes acceptance.

Customer may not assign these Terms without Sundial's written consent. Sundial may assign them in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets. If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.

California law governs these Terms, without regard to conflict-of-law rules. The state and federal courts located in San Francisco, California have exclusive jurisdiction over disputes arising from these Terms.
